The council describes the project as covering around 17 hectares of underused commercial and retail space within the city centre.

HMRC gives an example where a property is originally contracted at £1 million, the purchaser assigns the rights for £100,000 and the incoming buyer subsequently pays £1 million to complete. In that example, the incoming buyer's chargeable consideration is £1.1 million.

The actual tax position depends on the structure and circumstances of the transaction. Specialist tax and legal advice should therefore be obtained before completing an assignment.

Consider what happens if the assignment fails

An investor should have a plan beyond simply finding another buyer.

If the intended assignment does not happen, the original purchaser may still have obligations under the purchase contract, depending on its terms.

Before committing to an off plan property in Birmingham city centre, consider whether you could complete the purchase yourself if necessary.

This is particularly important where construction is nearing completion, financing has not been finalised or market values have changed since the original contract was signed.

Birmingham's wider development pipeline

The city's new Local Plan is intended to guide development through to 2044. As of 2026, Birmingham is progressing its Publication Plan, with consultation running from August to September 2026 before the anticipated examination stage.

The council's Central Heart plans also demonstrate the scale of proposed regeneration in central Birmingham. However, planning proposals and development pipelines should be treated as context rather than evidence that a particular off plan contract is available for assignment.
