How assigning an off-plan purchase can work before a new-build property is completed

Buying an off-plan property means committing to purchase a home before construction is complete, often while the development is still being built or before work has started. For some investors, the attraction is the opportunity to secure a property at an early stage and potentially sell or transfer their contractual position before completion.

An assignable off-plan property contract allows the original purchaser to transfer their contractual rights to another buyer, where the developer and contract terms permit it. In the UK, this is generally dealt with as a pre-completion transaction, and the precise legal and tax consequences depend on the structure of the transaction.

What is an assignable off-plan property?

An assignable off-plan property is typically a new-build property purchased under a contract that allows the original buyer to assign their rights before the property is completed.

For example, an investor might agree to purchase an apartment from a developer for £400,000 while the building is still under construction. If the contract permits assignment, the investor could later assign their rights to another buyer before completion.

The new buyer then completes the acquisition with the original developer, subject to the contractual structure and any required consents.

HMRC specifically recognises assignments of rights before completion as pre-completion transactions where the relevant conditions are met.

Check whether the developer allows assignment

Not every off-plan contract is freely assignable.

Developers may include provisions requiring their consent before an assignment can take place. Some contracts may prohibit assignment altogether, while others may allow it only during a particular period or subject to administrative conditions.

Before purchasing an off-plan property with the intention of assigning it later, an investor should therefore have the contract reviewed carefully.

Important provisions can include:

  • Whether assignment is permitted

  • Whether developer consent is required

  • Assignment deadlines

  • Administration or consent fees

  • Whether the original buyer remains liable for certain obligations

How an off-plan assignment works

A typical arrangement can involve three parties:

Developer: The original seller of the property.

Original purchaser: The investor who initially signs the off-plan contract.

New purchaser: The person who receives the original purchaser's contractual rights.

For example, an investor agrees to buy an off-plan apartment for £500,000. Before completion, the investor assigns their rights under the contract to another purchaser for £550,000.

The exact payment structure depends on the contract and assignment arrangement. The original developer generally remains the vendor for the eventual acquisition, although the contractual and tax treatment needs to be examined carefully. HMRC's guidance specifically addresses assignments where the ultimate purchaser completes the acquisition from the original vendor.

SDLT considerations for assignable off-plan property

Stamp Duty Land Tax can become particularly important when an off-plan contract is assigned.

HMRC's rules provide specific treatment for pre-completion assignments. In its example, a buyer purchases land for £1 million and assigns the contractual rights for £100,000. The ultimate purchaser's chargeable consideration can include both the original contract consideration and the amount paid for the assignment, producing £1.1 million of chargeable consideration in that example.

This means investors should not assume that assigning an off-plan contract simply avoids SDLT or creates a straightforward second transaction.

The tax position can vary depending on the structure, consideration, timing, connected parties and other circumstances. Professional SDLT advice should be obtained before completing an assignment.

Assignment before completion is different from a normal property sale

An important distinction is that the original investor may be assigning contractual rights rather than selling a completed property.

That difference matters because the property may not yet have been legally transferred to the investor.

HMRC describes these arrangements as pre-completion transactions where, before the original contract is completed or substantially performed, another person becomes entitled to call for the conveyance of all or part of the property.

The exact legal structure should therefore be established before marketing an off-plan investment as an assignment opportunity.

Why investors consider assignable off-plan contracts

Assignment can provide an exit route for investors who no longer want to complete the original purchase.

Circumstances can change during a construction project. An investor might have:

  • Changed their investment strategy

  • Found another investment opportunity

  • Decided not to take on the completed property

  • Received an attractive offer from another buyer

  • Experienced changes in financing arrangements

  • Purchased during an early development phase and later decided to realise their contractual position

However, an assignment is not automatically profitable. The investor must consider the original purchase price, assignment price, fees, taxes, financing costs and market conditions.

Risks when buying assignable off-plan property

Off-plan assignments can involve additional risks compared with buying a completed property.

Construction delays may change the expected completion date. Property values can also move between the original contract date and completion. If the market falls, finding another purchaser willing to take over the contract may become difficult.

There can also be contractual restrictions, developer consent requirements and additional professional costs.

Investors should therefore review the original contract, development details, payment obligations and assignment provisions before committing capital.
