HMRC provides an example where an original buyer contracts to purchase land for £1 million, assigns the rights for £100,000 and the incoming buyer subsequently completes the £1 million acquisition. HMRC's example treats £1.1 million as the incoming buyer's chargeable consideration for SDLT purposes.

The actual tax treatment depends on the circumstances of the transaction, so professional advice is important.

Before paying an assignment premium, investors should obtain and review the original purchase contract.

Important questions include:

  • Is assignment expressly permitted?

  • Does the developer need to provide written consent?

  • Is there an assignment fee?

  • How much deposit has already been paid?

  • What is the original purchase price?

  • How much remains payable on completion?

  • When is completion expected?

  • Are there restrictions on letting or resale?

  • What are the expected service charges?

  • Does the property have a long lease?

  • What are comparable apartments currently selling for?

  • What rent could realistically be achieved?

  • Can finance be obtained for the transaction?

  • What happens if the assignment cannot be completed?

These checks can help distinguish a genuine opportunity from a contract that simply appears discounted.

Understanding the Tax Position

For properties in England and Northern Ireland, SDLT rules specifically cover pre-completion transactions and assignments of rights. HMRC states that consideration given for an assignment can form part of the consideration relevant to the transferee's acquisition.

There are also circumstances in which relief may be available to the original transferor, although specific conditions apply and relief can be restricted where the transaction has a main purpose of securing an SDLT tax advantage.

Scotland and Wales have different property tax regimes, so investors should obtain advice relevant to the location of the apartment rather than assuming the same rules apply throughout the UK.

Assessing the Investment Before Proceeding

The total cost of an assignable waterfront apartment should include more than the amount requested by the original purchaser.

Calculate the original contract price, assignment premium, remaining completion balance, legal fees, financing costs, taxes, service charges and any immediate refurbishment or furnishing costs.

Then compare the total acquisition cost with realistic current market values and rental income.

This is particularly important with off-plan apartments because the market value at completion may differ from the valuation when the original contract was signed.
