How to find UK property contracts that can be assigned without relying on a mortgage

Assignable property contracts can be an option for investors who want to secure an off-plan or new-build property and potentially transfer the contractual position to another buyer before completion. In some cases, the original buyer may not need a mortgage because the contract is transferred before the final purchase has to be completed.

However, “no mortgage needed” does not mean “no money needed”. You still need enough funds to meet the developer's deposit and instalment requirements, legal costs and any other contractual obligations before the assignment.

What Does “No Mortgage Needed” Actually Mean?

Suppose a developer offers an off-plan apartment for £250,000 with a staged payment plan:

  • £25,000 reservation and deposit

  • £25,000 further payment during construction

  • £200,000 on completion

If the contract is assignable, an investor could potentially enter the contract, pay the required £50,000 and later assign their contractual rights to another buyer before completion.

The new buyer could then become responsible for the remaining contractual obligations, subject to the legal structure and the developer's requirements.

In this example, the original buyer may not need a £200,000 mortgage because they are not necessarily intending to complete the purchase themselves.

However, the original buyer still needs sufficient funds to meet the payments that become due before assignment.

Look for Contracts With These Features

If your objective is to find assignable contracts without taking a mortgage, look for property opportunities where the contract specifically allows:

  • Assignment before completion

  • Transfer to another purchaser

  • Nomination of a replacement buyer

  • Staged or deferred payments

  • A relatively low initial deposit

  • Assignment before the final completion payment

  • Developer consent on clear and workable terms

The exact wording is more important than an agent describing an opportunity as “assignable”.

Always obtain and review the actual contract before committing money.

Off-Plan Properties Are Often Relevant

Off-plan property can be particularly relevant because there can be a significant period between exchange and completion.

During this period, an investor may potentially assign their contractual rights if the contract allows it.

For example:

Purchase price: £300,000
Initial deposit: £30,000
Further instalments: £30,000
Completion balance: £240,000

If assignment is permitted after the instalments have been paid, the original buyer could potentially transfer the contract before having to fund the £240,000 completion balance.

This does not mean the developer will automatically permit the transfer. The contract and developer's consent requirements must be checked first.

Do You Need a Mortgage to Assign a Property Contract?

Not necessarily.

An assignment can occur before the original purchaser completes the acquisition. HMRC's rules expressly cover pre-completion transactions where the original purchaser enters into an agreement under which another person becomes entitled to call for the conveyance of the property.

That is different from buying the completed property with a mortgage and then selling it.

The important question is whether the original buyer has enough funds to satisfy the contractual payments that fall due before the assignment.

What Happens to the Remaining Balance?

The remaining balance normally needs to be dealt with as part of the transaction.

For example:

Original contract: £400,000
Amount already paid: £80,000
Balance remaining: £320,000

If the contract is successfully assigned, the new buyer may take on the contractual position and ultimately pay the developer or seller according to the relevant arrangement.

The assignment documentation needs to make clear exactly what happens to the £80,000 already paid and whether the new buyer reimburses the original buyer.

Can You Receive an Assignment Premium?

Potentially.

If you secure a contract for £300,000 and later transfer your contractual rights to another buyer for an additional £25,000, that £25,000 may represent consideration for the assignment.

However, you should not assume that the £25,000 is simply tax-free profit.

HMRC's SDLT rules specifically address assignments of rights. In its example, an original contract for £1 million is assigned for £100,000, and the eventual purchaser's SDLT consideration is treated as £1.1 million.

The tax position should therefore be reviewed before agreeing an assignment premium.

What About the Mortgage of the New Buyer?

“No mortgage needed” usually refers to the original investor, not necessarily the eventual buyer.

The new buyer may still choose to use a mortgage to complete the purchase.

For example:

You secure an assignable contract.

You pay the required £40,000 before assignment.

You find another buyer.

The buyer takes over the contractual position and obtains mortgage finance for the eventual completion.

Whether the developer accepts that buyer and whether the lender is willing to finance the transaction are separate questions.

What to Check Before Paying a Deposit

If you are specifically looking for no-mortgage assignable contracts, ask the developer or seller:

  1. Is the contract expressly assignable?

  2. Can I assign it before completion?

  3. Is developer consent required?

  4. Is there an assignment fee?

  5. What payments are required before assignment?

  6. Is there a deadline for assignment?

  7. Can the deposit and instalments already paid be transferred?

  8. Will the new buyer take responsibility for the remaining balance?

  9. Will I remain liable after assignment?

  10. Are there restrictions on marketing the contract?

  11. Can the new buyer use mortgage finance?

  12. What tax consequences could arise?

Get the answers in writing where possible.

Be Careful With “No Mortgage” Property Deals

An advertisement saying “no mortgage required” does not necessarily mean you can enter the deal with very little capital.

You may still need money for:

  • Reservation fees

  • Deposits

  • Construction-stage instalments

  • Legal fees

  • Assignment fees

  • Agent fees

  • Tax

  • Due diligence

You also need to consider what happens if you cannot find an assignee before your next payment or completion deadline.

An assignment strategy should never depend entirely on assuming that another buyer will appear.

Check Whether the Contract Is Actually Assignable

The contract is the most important part of the opportunity.

Some developers permit assignment freely, some require consent, and others restrict it.

A contract that is advertised as “assignable” should therefore be reviewed by a solicitor before you pay a substantial deposit.

The solicitor should establish whether the proposed transaction is an assignment, subsale, novation or another type of pre-completion arrangement.

HMRC treats different pre-completion structures differently for SDLT purposes.

Consider the Payment Schedule

For a no-mortgage strategy, the payment schedule can be just as important as the property price.

A £300,000 property requiring £30,000 before assignment may be commercially very different from a £300,000 property requiring £150,000 before assignment.

Look at:

Initial payment → construction instalments → assignment deadline → remaining balance → final completion date

The longer the period before completion and the lower the amount required before assignment, the more flexibility the structure may provide. However, this is a commercial consideration, not a guarantee that the contract will be easy to assign.

You may therefore avoid taking a £280,000 mortgage yourself because you are transferring your contractual position before completing the purchase.

But the transaction must be structured correctly, and the developer, solicitors and tax advisers may all need to be involved.

Final Checks

If your goal is to find assignable UK property contracts with no mortgage required, focus less on the phrase “no mortgage” and more on the actual contract.

Look for:

  • Clear assignment rights

  • Low initial capital requirements

  • Manageable staged payments

  • A reasonable assignment period

  • Clear developer consent procedures

  • Transparent assignment fees

  • A realistic completion timeline

  • A property with genuine demand from eventual buyers

Most importantly, have the contract reviewed before committing significant funds.
