Unable to File Confirmation Statement Companies House

What to Do When Your Companies House Confirmation Statement Cannot Be Filed

If you are unable to file confirmation statement Companies House, the issue may be caused by missing director identity verification, an incorrect company record, an authentication problem or another filing requirement that has not been completed.

Every UK company must file a confirmation statement at least once every 12 months, even when no company information has changed. Companies House can impose penalties and may begin strike-off action when a confirmation statement remains outstanding.

Why You May Be Unable to File

Common reasons include:

  • One or more directors have not completed identity verification

  • A director's Companies House personal code is missing

  • Company information is incorrect or out of date

  • Required director or PSC changes have not been filed

  • The registered office information needs updating

  • A registered email address has not been provided

  • You do not have the company's authentication code

  • The filing service being used is not suitable for your company

Companies House will not accept a confirmation statement until all relevant directors have completed the required identity verification and provided their personal codes.

Check Director Verification First

If your confirmation statement is being blocked because of identity verification, each relevant director should complete the process and obtain their Companies House personal code.

A director can verify directly or use an Authorised Corporate Service Provider to verify their identity on their behalf. An ACSP can be particularly useful for overseas directors or anyone having difficulty with the direct verification process.

Check Your Company Information

Before filing, review the company's Companies House record carefully.

Any changes to directors, PSCs, registered office details or the company's registered email address should be dealt with before submitting the confirmation statement.

If the information is correct and nothing has changed, you still need to file the confirmation statement.

Check Your Authentication Code

Online filing requires the company's Companies House authentication code. This is a six-character code used to authorise online filings.

The company authentication code is different from the personal code issued to a director after identity verification.

If you have lost the authentication code, Companies House can issue a replacement to the company's registered office address.

If Your Filing Deadline Is Approaching

Do not ignore a blocked filing if the deadline is close. Check the confirmation date and filing deadline on the company's Companies House record and address the problem as quickly as possible.

The online confirmation statement fee is currently £50, while filing a paper CS01 costs £110.

If you have received a default letter concerning an overdue identity verification statement, Companies House has a formal representation process for exceptional circumstances. A representation normally needs to be made within 28 days of the date on the default letter.
